1. Introduction
These Terms & Conditions (“Agreement”) govern your (“Customer”, “you”, “your”) use of the services provided by Washington Landscaping (“Company”, “we”, “us”, “our”). By executing a Service Agreement, submitting an order, permitting us to perform work, or otherwise engaging our services, you agree to be bound by this Agreement. If you do not agree, you may not engage our services.
2. Services
2.1 We provide landscaping services including but not limited to landscape design, installation, lawn & garden renovation, drainage solutions, planting, irrigation, maintenance, and related outdoor services for residential and commercial properties.
2.2 The specific scope of services, deliverables, timing, pricing, and any special terms will be set forth in a separate written Service Agreement, work order, or quote signed or accepted by you.
2.3 Any additional or modified services beyond the signed scope must be confirmed in writing and may incur additional charges.
3. Customer Responsibilities
3.1 You must provide full, safe, and timely access to the property, utilities, permits (if required), and any required approvals (HOA, community, landlord).
3.2 You represent that you are the owner or authorized agent of the property, that the work is lawful, and that no hazardous conditions (including unstable ground, underground utilities not disclosed, unsafe structures, or unpermitted work) exist or will be corrected prior to work.
3.3 You agree to follow any care, watering, drainage, or maintenance guidelines provided after installation.
3.4 You will notify us promptly if any damage, drainage issue, or plant failure occurs.
4. Pricing, Payment & Cancellation
4.1 Pricing is set in your written quote or Service Agreement. Unless otherwise specified, payment is due upon completion of services and invoice issuance. We may require a deposit.
4.2 If services are scheduled but canceled within 48 hours of the scheduled start, you may be charged a cancellation fee.
4.3 Late payments may incur interest.
4.4 We reserve the right to suspend work or withhold services if payment is not received when due.
5. Changes to Services & Delays
5.1 We may revise schedules due to weather, site conditions, access issues, or material availability.
5.2 Changes to scope may result in additional charges and timeline adjustments.
5.3 We are not liable for delays caused by conditions beyond our reasonable control.
6. Warranties & Disclaimers
6.1 We warrant that services will be performed with reasonable care consistent with industry standards.
6.2 Except as expressly stated, all warranties are disclaimed, including plant survival beyond standard establishment periods unless otherwise specified.
6.3 We do not guarantee plant survival due to factors outside our control (weather, soil conditions, watering practices, pests, or disease).
6.4 You assume responsibility for maintaining proper care and site conditions after installation.
7. Limitation of Liability
7.1 Our total liability shall not exceed the amount paid for the specific service giving rise to the claim.
7.2 We are not liable for indirect or consequential damages (including property damage, drainage issues, or plant loss beyond our control).
7.3 Liability limitations apply to the maximum extent permitted by law.
8. Intellectual Property
All designs, plans, layouts, and materials provided remain the property of the Company and may not be reused or distributed without written consent.
9. Permits, Codes & Compliance
9.1 You are responsible for permits, HOA approvals, and compliance with local regulations unless otherwise stated.
9.2 We may assist with coordination, but responsibility remains with the property owner.
9.3 We reserve the right to refuse or stop work if unsafe or non-compliant conditions exist.
10. Term and Termination
10.1 This Agreement remains in effect until completion of services.
10.2 Either party may terminate for material breach.
10.3 We may terminate immediately for non-payment, unsafe conditions, or non-compliance.
10.4 You remain responsible for payment of all completed work and associated costs.
11. Maintenance & Ongoing Services
11.1 If ongoing maintenance services are included, scheduling will be coordinated based on seasonal needs.
11.2 Missed access or cancellations may result in additional charges.
11.3 Landscaping materials, plants, and installations may naturally change over time and require maintenance.
12. Safety & Insurance
12.1 We maintain general liability insurance.
12.2 You are responsible for maintaining property insurance.
12.3 You agree to report any issues, damage, or hazards promptly.
13. Force Majeure
Neither party is liable for delays caused by events beyond reasonable control, including weather, natural disasters, or supply shortages.
14. Amendments
We may update these Terms at any time. Continued use of our services constitutes acceptance of updated terms.
15. Governing Law & Dispute Resolution
15.1 Governed by the laws of Washington State.
15.2 Disputes will first attempt resolution through negotiation, then binding arbitration in King County, Washington.
15.3 The prevailing party may recover legal fees and costs.
16. Severability & Waiver
If any provision is invalid, the remainder remains enforceable.
17. Entire Agreement
This Agreement, along with your Service Agreement or quote, constitutes the full agreement between parties.
